1. What UniQuote is
UniQuote (by Multifacture, UK) is software that lets manufacturing businesses (“workshops”) run instant-quote storefronts, take orders, manage production, work with other workshops, and connect their own business tools. By creating an account or buying through a workshop’s storefront you agree to these terms.
2. Accounts
Keep your login private and your details accurate. A workshop owner may add team logins and controls what each can access; the owner is responsible for their team’s use. We may suspend accounts that break these terms, attack the platform, or break the law.
3. Fees
Workshops pay a monthly (or annual) subscription for their plan, optional add-ons such as team seats, and a small platform fee on sales made through the quote engine — current prices are always on the pricing page. Subscriptions are billed by Stripe and can be cancelled any time (paid periods run to their end; past-due accounts drop to read-only until billing is fixed).
4. Payments — who pays whom
UniQuote never holds anyone’s money in transit. Customers pay workshops through the workshop’s own payment account (e.g. its own Stripe). Money between workshops on network jobs, and between workshops and their collaborators, is settled directly between those businesses — UniQuote records who invoiced and who paid, but is not a party to those transactions, doesn’t escrow them, and doesn’t arbitrate them. Each sale is a contract between the buyer and the workshop, not with us.
5. Your content
Workshops and their customers own what they upload (designs, files, product photos, prices). You give us the licence needed to host, process and display it to run the service — nothing more. Don’t upload content you have no right to, anything unlawful, or malware. We may remove content that breaks these terms.
6. The workshop network & integrations
Connections between workshops are consensual, and what one workshop promises another (quality, price, deadlines) is between them — the platform provides the rails: statuses, tracking, dispute flags and settlement records. Third-party integrations (Stripe, Shopify, Xero, QuickBooks, Etsy, AI providers) are subject to those providers’ own terms; connect them at your choice.
7. Marketplace routing & who is liable for a part
Some orders are routed through the Multifacture network: the platform matches the job to capable workshops, each workshop’s own pricing engine quotes it, and the chosen manufacturer accepts or declines the job in their own inbox. Every routing decision is recorded with its reasons and can be reviewed. The contract to make a routed part is between the business that placed the job and the manufacturer that accepted it — responsibility for a defective or non-conforming part sits with the manufacturer that made it, and the seller remains responsible to their own customer for the sale itself. Problems are raised through the platform’s dispute flow on the job, which pauses settlement for that job until resolved. The platform provides matching, records and rails; it is not a party to the manufacturing contract.
8. Affiliates & referral commissions
Joining the affiliate programme mints a referral code and a private dashboard link — that link is your login; keep it secret (we can re-issue it if it leaks). Your commission rule (a percentage of the order, a percentage of the platform’s margin, or a fixed amount) is shown on your dashboard and may differ per affiliate. Commission accrues when an order your link referred is routed, and becomes payable once the order is delivered and settled. If a referred order is refunded before your commission is paid, the unpaid commission is cancelled in proportion to the refund; if it was already paid out, the amount is offset against your future commissions. Self-referrals, misleading promotion, or spam get the code disabled and unpaid commissions voided. You promote as an independent party, not as our agent or employee.
9. Payouts & the ledger
Money on routed orders is tracked in an append-only ledger: what the customer paid, what the manufacturer earned, any affiliate commission, the seller’s margin and the platform’s fee — every correction is a new entry, never an edit, so the history is always auditable. Amounts show as owed until a payout is recorded, then as paid. Payouts run over the platform’s payment rails (or recorded direct settlement between the businesses) — the ledger is the record that they reconcile: money in always equals money allocated. Refunds are recorded against the order and come out of the platform’s share first, then unpaid commissions as described above.
10. Service, warranty, liability
We work hard to keep UniQuote fast, secure and available, but it is provided “as is” — no guarantee of uninterrupted service. To the fullest extent the law allows, our liability for any claim is limited to the fees you paid us in the twelve months before the claim; we are not liable for indirect losses (lost profits, lost data beyond our reasonable backups, disputes between workshops or with their customers). Nothing limits liability that cannot legally be limited.
11. Ending things
You can close your account whenever you like (export your records first — built-in exports exist for exactly this). We can end or suspend service for breach of these terms with notice where practical.
12. Changes & law
We may update these terms; material changes will be dated here and emailed to account holders. These terms are governed by the law of England and Wales, and its courts have jurisdiction. Questions: contact@multifacture.co.uk.
